TERMS AND CONDITIONS OF SALE

 

STATEMENT:  In consideration for an account being established with Karbowski Oil Company in which credit may be extended by Karbowski Oil Company the undersigned agrees (1) that it will be paying a cash price or a credit price as defined below; (2) that the information contained herein is being relied upon by Karbowski Oil Company for the establishment of an account and for the possible extension of credit; (3) that the undersigned agrees to all of the terms set forth in this document; and (4) that the information stated by the undersigned is true and correct.

 

CASH PRICE:  The terms of the undersigned’s account with Karbowski Oil Company are that any labor and/or materials provided by Karbowski Oil Company will be invoiced as a cash price that is to be paid by the 10^th of the following month.

 

CREDIT PRICE:  The undersigned agrees that if it does not make payment on its account by paying the cash price as described above, and then the undersigned has agreed to pay a credit price for the labor and/or materials provided by Karbowski Oil Company.  The credit price consists of the cash price plus an additional 1-1/2% per month time price differential charge that will begin to accrue on the11th day of the following month.    The undersigned agrees and understands that the time price differential charge is a flexible price factor to reflect Karbowski Oil Company’s increased costs when its bills are not paid promptly and is an integral part of the cost of each transaction between the undersigned and Karbowski Oil Company.

 

DISCONTINUANCE OF SALES OR DELIVERIES:  In the event that payment is not received according to the cash price terms stated in this agreement, the undersigned understands and agrees that Karbowski Oil Company at its sole opinion and discretion, may close the undersigned’s account and that Karbowski Oil Company may discontinue its sales or deliveries for so long as those non-payment conditions shall continue.  In addition, the undersigned shall be responsible and obligated to pay all costs, reasonable attorney fees, and other expenses incurred by Karbowski Oil Company in the collection and liquidation of the undersigned’s past due charges.

 

APPLICANT CERTIFICATION AND AUTHORIZATION

 

                I hereby certify that the above information is true and accurate and that I am authorized to bind the applicant to the terms of this Credit Application and the terms of subsequent purchases of  petroleum products from Karbowski Oil Company (KOC) which is hereby authorized to contact any of the above references and conduct any credit checks of the applicant and/or its officers it deems necessary.  In the event the applicant fails to pay any account with KOC under the terms of the account, applicant agrees that, in addition to the amount due on the account, KOC shall be entitled to recover the maximum allowable rate of interest on the amounts due, together with its costs of collection, including its attorney fees.
